Core Business Entity definition

Core Business Entity means any Person that earns or is entitled to receive fees or income (including investment income and fees, gains or income with respect to carried interests) from one or more Core Businesses.

Examples of Core Business Entity in a sentence

  • Permit any Equity Interests that are owned by Blackstone Group, either directly or through its direct or indirect subsidiaries, in a Core Business Entity, to be owned by any Person other than the Borrowers and the Subsidiaries (unless such Core Business Entity is itself a Borrower), it being understood that the foregoing will not prohibit Blackstone Group’s indirect ownership of such Equity Interests through its direct or indirect ownership of Equity Interests in the Borrowers.

  • Each Obligor will not permit any Equity Interests that are owned by Carlyle Group, either directly or through its direct or indirect subsidiaries, in a Core Business Entity, to be owned by any Person other than the Obligors and their Subsidiaries (unless such Core Business Entity is itself an Obligor); provided that the foregoing will not prohibit Carlyle Group’s indirect ownership of such Equity Interests through its direct or indirect ownership of Equity Interests in the Obligors.
