Copyable Technology definition

Copyable Technology means Technology that is in a form that can be copied or replicated without material cost, including documentation, Software and computer and data files.
Copyable Technology means an item of Technology embodied in tangible, written form or in electronic form as computer and data files, as such materials exist as of the Closing Date, including any designs, drawings, data sheets, schematics, manufacturing instructions or specifications, provided that such item of Technology is in a form that can be copied or replicated without material cost or effort.
Copyable Technology means tangible embodiments and tangible forms of technology, other than Equipment, capable of being copied without incurring material costs, such as documents, works of authorship, files, Software, lab notebooks and designs.

  • Notwithstanding the foregoing, no member of the Seller Group will be required to erase electronically stored copies of such Copyable Technology that have been saved to a back-up file in accordance with any such member of the Seller Group’s ordinary electronic backup practices or in connection with any such member of the Seller Group’s legal or internal record-keeping policies.
