ChipMOS Taiwan shall use reasonable best efforts to cause the mailing of the Convocation Notice to the ChipMOS Taiwan Shareholders to occur as soon as practicable following the date hereof.
The Company shall provide the Purchaser and its representatives with a reasonable opportunity to review and comment on the Convocation Notice prior to its being circulated to the shareholders of the Company, and the Company shall consider in good faith any comments proposed by the Purchaser and its representatives for inclusion therein.
The Company will cause the Convocation Notice, at the time of the mailing of the Convocation Notice or any amendments or supplements thereto, and at the time of the 2015 Annual General Meeting, to not contain any untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading.
