Examples of Convertible Note Register in a sentence

  • PFG must establish and keep the Convertible Note Register which must record: (i) the name and address of each Noteholder; (ii) the number of Convertible Notes, as applicable, held by each Noteholder; (iii) the date of issue of Convertible Notes held by each Noteholder; and (iv) particulars of any Conversion or Redemption of Convertible Notes held by each Noteholder.

  • Title to Convertible Notes is conclusively evidenced for all purposes by inscription in the Convertible Note Register.

  • A person whose name is entered in the Convertible Note Register in respect of Convertible Notes is the holder of those Convertible Notes and such entry is conclusive evidence that the person named in the Convertible Note Register is the absolute owner of, and holder of title to, the Convertible Notes registered in the name of that person.

  • Subject to compliance with clause 2.4(a), the Company will ensure that the Convertible Note Registrar notes any such transfer in the Convertible Note Register at the earliest reasonable opportunity after receiving written evidence (which is satisfactory to the Convertible Note Registrar, acting reasonably) of the transfer of the Convertible Note.

  • The Investor will advance the Second Payment and the Company must update the Convertible Note Register to reflect the Amount Outstanding on the Second Closing.
