Converted Certificates definition

Converted Certificates shall have the meaning set forth in Section 4(c)(i).

  • In lieu of any such fractional shares, each holder of Synchronicity Notes or Converted Certificates exchanged pursuant to the Merger who would otherwise have been entitled to receive a fraction of a share of MatrixOne Common Stock (after taking into account all MatrixOne Common Stock Certificates delivered by such holder) shall be paid an amount in cash, without interest, equal to such fractional part of a share of MatrixOne Common Stock multiplied by the Per Merger Share Value.

  • Notwithstanding any other provision of this Agreement, no certificate or scrip representing fractional shares of MatrixOne Common Stock shall be issued upon the surrender for exchange of any Synchronicity Notes or Converted Certificates, no dividend or other distribution with respect to MatrixOne Common Stock shall relate to any fractional shares of MatrixOne Common Stock and such fractional share interests shall not entitle the owner thereof to vote or to any rights of a stockholder of MatrixOne.

  • Related Certificates For each interest in the Upper Tier REMIC, the Class of Certificates listed on the same row in the table entitled "Upper Tier REMIC" in the Preliminary Statement.

  • ERISA Restricted Certificates Any Class B-4, Class B-5 or Class B-6 Certificate.

  • Old Certificates has the meaning assigned in Section 3.04(a).

  • Restricted Certificate Any Class P, Class X or Class R Certificate.

  • Class B Certificates The Class B-1, Class B-2, Class B-3, Class B-4, Class B-5 and Class B-6 Certificates.

  • Exchangeable Certificates The Class A-S, Class B, Class C and Class PEX Certificates.

  • New Certificates has the meaning assigned in Section 3.3(a).

  • Public Certificates The Class X-0, Xxxxx X-0, Class A-3, Class A-4, Class A-5, Class A-AB, Class X-A, Class A-S, Class B and Class C Certificates.

  • Class D Certificates “Class E Certificates,” “Class F Certificates,” “Class G Certificates,” “Class H Certificates,” “Class V Certificates” and “Class R Certificates” mean, in each such case, the Certificates designated as “Class A-1,” “Class A-2,” “Class A-SB,” “Class A-3,” “Class A-4,” “Class A-5,” “Class A-S,” “Class X-A,” “Class X-B,” “Class X-C,” “Class B,” “Class PST,” “Class C,” “Class D,” “Class E,” “Class F,” “Class G,” “Class H,” “Class V” and “Class R,” respectively, on the face thereof, in substantially the forms attached hereto as Exhibits A-1 to A-20.

  • Class X-D Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-12 hereto.

  • Registered Certificates shall have the meaning specified in Section 6.01.

  • Class B-6 Certificates The Certificates designated as “Class B-6” on the face thereof in substantially the form attached hereto as Exhibit A.

  • Related Certificate Group As to any Combinable Class or RCR Class, a Certificate Group that includes such Class.

  • Stock Certificates has the meaning set forth in Section 2.2(a)(ii).

  • Class SB Certificate Any one of the Certificates designated as a Class SB Certificate. Class X Certificate: Any one of the Certificates designated as a Class X Certificate.

  • Accrued Certificate Interest With respect to each Distribution Date, as to any Class or Subclass of Certificates (other than any Principal Only Certificates), interest accrued during the related Interest Accrual Period at the related Pass-Through Rate on the Certificate Principal Balance or Notional Amount thereof immediately prior to such Distribution Date. Accrued Certificate Interest will be calculated on the basis of a 360-day year, consisting of twelve 30-day months. In each case Accrued Certificate Interest on any Class or Subclass of Certificates will be reduced by the amount of:

  • Class A-SB Certificate Any one of the Certificates with a “Class A-SB” designation on the face thereof, substantially in the form of Exhibit A-1 attached hereto, and evidencing a portion of a class of “regular interests” in REMIC III for purposes of the REMIC Provisions.

  • Class H Certificate means any of the Certificates with a "Class H" designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.

  • Private Certificates As specified in the Preliminary Statement.

  • Fixed Rate Certificates As specified in the Preliminary Statement.
