Conversion Settlement Amount definition

Conversion Settlement Amount means such amount as, in the opinion of the Calculation Agent (such opinion to be made by the Calculation Agent, in its sole and absolute discretion), is fair in the circumstances by way of compensation for the termination of the Notes.
Conversion Settlement Amount has the meaning specified in Section 10.13.
Conversion Settlement Amount shall have the meaning specified in Section 9.02(a)(3).

Examples of Conversion Settlement Amount in a sentence

  • If more than one Note shall be surrendered for conversion at one time by the same Holder, the Conversion Settlement Amount with respect to such Notes shall be computed on the basis of the aggregate principal amount of the Notes (or specified portions thereof to the extent permitted thereby) so surrendered.

  • The Company’s delivery of the Conversion Settlement Amount with respect to any converted Note shall be deemed to satisfy in full its obligation to pay the principal amount of the Note and accrued and unpaid interest, if any, to, but not including, the relevant Conversion Date.

  • The Company’s delivery of the full Conversion Settlement Amount upon conversion shall be deemed to satisfy in full its obligation to pay the principal amount of the Security and accrued and unpaid interest, if any, to, but not including, the relevant Conversion Date.

  • If the Company does not notify such Holders prior to the deadline set forth in the immediately preceding sentence, the Company shall be deemed to have elected Physical Settlement in respect of such Early Conversion Settlement Amount.

  • The Company covenants and agrees that it shall cause to be paid the principal (including the Fundamental Change Repurchase Price, if applicable, and the Redemption Price, if applicable) of, and accrued and unpaid interest and the Conversion Settlement Amount, if any, on, each of the Notes at the places, at the respective times and in the manner provided herein and in the Notes.


More Definitions of Conversion Settlement Amount

Conversion Settlement Amount means the sum of the Daily Settlement Amounts for each of the 50 VWAP Trading Days in the relevant Conversion Reference Period.
Conversion Settlement Amount means the sum of the Daily Settlement Amounts for each of the 20 Trading Days during the Conversion Period.
Conversion Settlement Amount means an amount which the Calculation Agent, acting in a commercially reasonable manner, determines is the fair value to the Holder of a Security with terms that would preserve the economic equivalent of any payment or delivery (assuming satisfaction of each applicable condition precedent) to which the Holder would have been entitled under the Security but for the occurrence of the Conversion, less the cost to the Issuer of, or the loss realised by the Issuer on, unwinding any related underlying hedging arrangements, the amount of such cost or loss being as determined by the Calculation Agent in its sole and absolute discretion.
Conversion Settlement Amount means the sum of the Daily Settlement Amounts for each of the 20 Trading Days during the Conversion
Conversion Settlement Amount consisting of cash and, if applicable, shares of Class A Common Stock which shall be equal to the sum of the Daily Settlement Amounts for each of the 25 Settlement Period Trading Days during the applicable Conversion Period.
