Conversion offer definition
Conversion offer means any offer to exchange units or sub-units of another trust for units of the Unit Trust Account;
Conversion offer means an offer from the Facility Agent to the AMB Agent, in writing, for a Conversion substantially in the form of Part A of Schedule 3 (Form of Conversion Offer). Counterparty means a counterparty to a Hedging Agreement. Credit Support means a form of credit support to the Facility Agent’s satisfaction (acting reasonably) that may include a letter of credit, bond or a bank guarantee. Cross-Guarantee means a cross-guarantee according to which all PropCos whose law of incorporation is France shall undertake to guarantee each PropCo’s obligations (except for its own) with respect to the Finance Documents, such guarantee being limited to the Property owned by each PropCo.
