The Clearing Agent shall pay to the Introducing Firm the Conversion Assistance Payment as follows: $250,000 concurrent with the execution of this Agreement, $250,000 on the day which is the midway point between the date this Agreement is executed by both parties and the date chosen by the Clearing Agent as the conversion date and $300,000 immediately upon the completion of the conversion of all of the Introduced Accounts of the Introducing Firm to the Clearing Agent.
As an inducement for Introducing Firm to enter into this Agreement, Clearing Agent agrees to pay to Introducing Firm Eight Hundred Thousand Dollars ($800,000) (the "Conversion Assistance Payment").
The Conversion Assistance will be provided in accordance with the detailed conversion plan and conversion dates/schedule that has been developed and agreed upon by the parties (collectively, the “Conversion Plan”), as may be further revised upon mutual agreement of the parties.
Before providing any Conversion Assistance, ▇▇▇▇▇▇▇▇ agrees to pay Valutec a conversion assistance fee equal to the greater of: (a) $495.00 per location; or (b) up to a maximum of $1,500.00, 10% of the aggregate amount of all unused account balances of all Gift Cards issued by Merchant for Valutec’s standard conversion assistance plus, where applicable, the amount of Valutec’s good faith estimate for any custom programming or other custom services requested by Merchant.
Fidelity shall provide reasonable assistance to Client during its conversion to the Services through and until the Commencement Date for Services, at no cost to Client ("Conversion Assistance").
