Conventional Facility definition

Conventional Facility means the dollar term loan facility made available under the Conventional Finance Documents as described in Clause 2.1 (The Conventional Facility).
Conventional Facility has the meaning given in the HoldCo Common Terms Agreement;

Examples of Conventional Facility in a sentence

  • The Conventional Facility shall be deemed fully utilised on the Restructuring Effective Date at the time and in the manner specified in the Restructuring Implementation Deed.

  • The Company shall not cancel the whole or any part of the Conventional Facility or the Islamic Financing Facility except as otherwise provided in this Agreement.

  • The Conventional Facility Agent may accept deposits from, lend money or provide Islamic facilities to and generally engage in any kind of banking or other business with any member of the Group.

  • The Conventional Facility Agent may (with the consent of the Borrower or in accordance with clause 29 (Set-Off) of the Common Terms Agreement) apply any amount received by it for the Borrower in or towards payment (on the date and in the currency and funds of receipt) of any amount due from the Borrower under the Conventional Finance Documents or in or towards the purchase of any amount of any currency to be so applied.

  • In no event shall the Conventional Facility Agent be liable for any loss of profits, goodwill, reputation, business opportunity or anticipated saving, or for special, punitive, indirect or consequential damages, whether or not the Conventional Facility Agent has been advised of the possibility of such loss or damages.

  • The Borrower shall, within three Business Days of demand, reimburse the retiring Conventional Facility Agent for the amount of all costs and expenses (including legal fees) properly incurre d‌ by it in making available such documents and records and providing such assistance.

  • We refer to an English law governed common terms agreement dated on or about the date of this letter between, among others, Neptune Project Holding 3 Limited as original borrower and original guarantor, the Original Financiers listed therein, Abu Dhabi Commercial Bank PJSC as the Conventional Facility Agent, Dubai Islamic Bank PJSC as the Murabaha Investment Agent and Abu Dhabi Commercial Bank PJSC as the Security Agent (the “Common Terms Agreement”).

  • Correctional facility means a facility operated under the management and control of the Virginia Department of Corrections.

  • Recreational facility means any enclosed, indoor area used by the general public and used as a

  • State correctional facility means a facility or institution maintained and operated by the department.
