Controlling Provisions as defined in Section 201 hereof. "Corporation General Fund" – the Fund created by Section 503. "Corporation Representative" – the Chair of the Board of Directors of the Corporation, the Executive Director, Chief Financial Officer of the Corporation or such other individuals designated by the Corporation to perform the duties of a Corporation Representative under this Master Trust Agreement, each as evidenced by a written signature identification and incumbency certificate, furnished to the Trustee, signed on behalf of the Corporation by the Chair or the Secretary of the Corporation.
Controlling Provisions. This document is an offer by Belzona Florida, LLC. (“Belzona”) to sell the goods described in or with it (“Products”) to the party to whom this offer is addressed (“Buyer”) in accordance with these Sales Terms and Conditions; it is not an acceptance of any offer made by Buyer, and it is expressly conditioned upon Buyer’s assent to these Sales Terms and Conditions. If these Sales Terms and Conditions are part of a credit agreement between Belzona and Buyer, the parties agree that they control with regard to all sales transactions between the parties. Belzona objects to any different or additional terms contained in any purchase order or other form or communication previously or hereafter submitted by Buyer to Belzona. No such different or additional term or condition shall be binding or effective. This document and these Sales Terms and Conditions shall constitute the entire agreement between the parties on the subject of the transactions described herein (this “Agreement”), and there are no conditions to this Agreement that are not expressed herein. All prior proposals, negotiations and representations, if any, between the parties are merged herein. Buyer shall be deemed to have assented to all terms and conditions contained herein upon signing this Agreement, or upon acceptance of the shipment of any of the Products described herein or on any invoice in connection with such Products.
