Controlling Jurisdiction definition

Controlling Jurisdiction means, with respect to any Asset, (a) the jurisdiction under the laws of which the Borrower is organized, and (b) any other jurisdiction recourse to the courts of which may be necessary for Agent on behalf of the Secured Parties to enforce their rights as creditors with a first priority perfected security interest the assets which constitute Pledged Collateral.
Controlling Jurisdiction means the public agency or organization that is authorized to control land uses and implement zoning laws and regula- tions.
