Controlling and Controlled means the right to directly or indirectly control the management and policies, by law or contract, of such organization.

Controlling and Controlled shall have the meaning set forth in the definition of “Affiliate.” “Control Agreement” shall mean a control agreement, in form and substance reasonably satisfactory to Administrative Agent, executed and delivered by the applicable Credit Party, Administrative Agent, and the applicable securities intermediary or bank, which agreement is sufficient to give the Administrative Agent “control” under the UCC over each of such Credit Party’s securities accounts, deposit accounts or investment property, as the case may be. “Credit Documents” shall mean this Agreement, the Control Agreements, the Fee Letter, the Guarantee Agreement, the Security Documents, the Intercompany Subordination Agreement, any Notes issued by the Borrower hereunder, any intercreditor or subordination agreements in favor of the Administrative Agent with respect to this Agreement, and any other agreement entered into now, or in the future, by any Credit Party, on the one hand, and the Administrative Agent or Lender, on the other hand, in connection with this Agreement; provided, that, the Warrants shall not be Credit Documents.
