Controlled IP Assets definition

Controlled IP Assets means all Intellectual Property primarily related to the SHARPER IMAGE brand that is owned by Sellers in the United States, Latin America, China, India and Israel, which, for the avoidance of doubt, shall not include the JV Assets or the JV IP Assets. Controlled IP Assets do not include any Intellectual Property that is owned by one or more Sellers, but licensed to an International JV.

Examples of Controlled IP Assets in a sentence

  • There are no oral contracts, oral licenses or additional obligations arising from an oral agreement related to any of the Assumed Contracts or Controlled IP Assets.

  • Section 4.12 of the Sellers Disclosure Letter sets forth a true and complete list of all Controlled IP Assets that are the subject of a registration or application for registration (the “Controlled Registered IP”).
