Controlled 50% Affiliate definition
Controlled 50% Affiliate means with respect to any Person, any other Person directly or indirectly Controlling or Controlled by or under direct or indirect common Control with such Person; provided that solely for purposes of this definition, “Control” of a Person shall mean the power to, directly or indirectly, elect or appoint a majority of the board of directors or other governing body of such Person or the power to vote 50% or more of the voting securities of such Person (and the terms “Controlling”, “Controlled by” and “under common Control with” have correlative meanings).
