Control requirements definition

Control requirements means feeding of data into the CCSU computer system and its acceptance by the system, or alternatively the filling and signing of the paper based documentation for the sealing;
Control requirements means holding such cash, money market investments, time deposits and certificates of deposit in a blocked deposit, securities or custody account (including, in respect of any cash deposits, a Blocked Account) (A) maintained with the Administrative Agent at a branch within the United States, (B) subject to effective security documentation and filings, in form and substance satisfactory to Administrative Agent, that provide the Administrative Agent with an unencumbered, perfected first priority security interest in and lien on such funds, certificates of deposit and other investments, (C) in the case of any Blocked Account, subject to a Blocked Account Control Agreement and (D) in the case of any money market investments, time deposits and certificates of deposit, subject to a control agreement which at all times gives the Administrative Agent exclusive access and control for withdrawal purposes, to the exclusion of the Borrower, and precluding the Borrower from withdrawing or otherwise giving any instructions in connection therewith without the Administrative Agent’s prior written consent (such consent not to be unreasonably withheld if (1) upon and after giving effect to such withdrawal, no Default or Event of Default would occur and be continuing and (2) immediately after such withdrawal (for the avoidance of doubt, including after giving effect to any recalculation of the Borrowing Base upon giving effect to such withdrawal), Availability would be a positive number.
Control requirements shall have the meaning set forth in Exhibit B.

More Definitions of Control requirements

Control requirements means that after giving effect to a Permitted Transfer, at all times IREIT continues to control, directly or indirectly, Borrower, subject to the rights of third-party investors to approve or consent to major decisions customarily required by institutional investors, so long as such consent or approval rights do not prevent IREIT from continuing to maintain and operate the Property in the manner maintained and operated prior to the Transfer in which such consent or approval rights were acquired.

  • MREL Requirements means the laws, regulations, requirements, guidelines, rules, standards and policies relating to minimum requirements for own funds and eligible liabilities applicable to the Issuer and/or the Group, from time to time, (including any applicable transitional or grandfathering provisions), including, without limitation to the generality of the foregoing, any delegated or implementing acts (such as regulatory technical standards) adopted by the European Commission and any regulations, requirements, guidelines, rules, standards and policies relating to minimum requirements for own funds and eligible liabilities adopted by the Federal Republic of Germany or the Republic of Italy, a relevant resolution authority or the European Banking Authority from time to time (whether or not such requirements, guidelines or policies are applied generally or specifically to the Issuer and/or the Group), as any of the preceding laws, regulations, requirements, guidelines, rules, standards, policies or interpretations may be amended, supplemented, superseded or replaced from time to time.

  • MREL Requirement means the minimum requirement for own funds and eligible liabilities which is or, as the case may be, will be applicable to the Issuer;

  • Operational requirements means the need to ensure that the Agency is to be operated as effectively, efficiently and economically as possible.

  • Governmental Requirements means all judgments, orders, writs, injunctions, decrees, awards, laws, ordinances, statutes, regulations, rules, franchises, permits, certificates, licenses, authorizations and the like and any other requirements of any government or any commission, board, court, agency, instrumentality or political subdivision thereof.
