Control, Controlled or Controlling definition

Control, Controlled or Controlling a Person shall be deemed to have Control of another Person if that Person possesses or is entitled to acquire the majority of the voting rights in that Person.
Control, Controlled or Controlling is defined by reference to the meaning ascribed to the term “control” in paragraphs I and II of Article L. 233-3 of the French Commercial Code;
Control, Controlled or Controlling with respect to any person means having the ability to direct the management and affairs of such person, whether through the ownership of voting securities or by contract, and such ability shall be deemed to exist when any person holds a majority of the outstanding voting securities, or the economic rights and benefits of such person.
