Contribution Costs definition

Contribution Costs means all costs incurred by the Venture in connection with the transactions contemplated by this Agreement and the assumption by the Property Entity of the Existing Loan including without limitation the Transfer Fee, the Extension Fee, and any other financing fees, legal fees for Simpson Thacher & Bartlett LLP, Jenkens & Gilchrist, local ▇▇▇▇▇▇▇, ▇▇▇ ▇▇gul▇▇▇▇▇ ▇▇unsel, costs for ▇▇ ▇▇▇▇▇ed survey, the Title Policy, environmental and engineering reports, and transfer taxes.
Contribution Costs means all costs incurred by the Venture (an estimate of such costs is set forth on Schedule A) in connection with the transactions contemplated by this Agreement and the Financing including without limitation financing fees, legal fees (excluding the Excluded Legal Fees), costs for Surveys, Title Reports, and Title Policies, but excluding the Refinancing Fee.
