Contracted Term definition

Contracted Term means a ClubActive fixed term annual membership, paid in accordance with the membership application.
Contracted Term means an agreed minimum contractual time period for your Customer Agreement. This is set out in your Customer Order. Customer Agreement means a contractual agreement between you and the provider of our Products and/or Services, which may be us or a Partner and which consists of the following documents. These have been listed in order of precedence should any terms within these documents conflict with one another: 1) The Customer Order which sets out the key commercial arrangements with you and which has been signed by you and approved by us; 2) The Customer Terms which set out the legal terms and conditions that apply to all Customers; 3) The Terms of Service which set out the specific conditions within which we supply specific Product or Services; 4) The Customer Policies which set out how we work with Customers, End Users and protect Data; and 5) our End User License Agreement
Contracted Term means an agreed minimum time period for this Agreement, as set out in your Order. Customer Data means any data captured by us from you or your End-users in the operation of the Products and includes, without limitation, registration information, usage information, information about computing devices and networks and software running on them, geo-location information, system logs, diagnostic data, messages and submitted comments, information, ideas, concepts, reviews, documents and materials. Customer Support means Product deployment, configuration and help desk services as described in our Terms of Service. Defect means a defect in a Product which renders it unusable or otherwise unfit for its stated purpose in a live environment. Documentation means any documentation provided by us in relation to the Products and includes, without limitation, user guides, procedures, training manuals, videos, tutorials, brochures and manuals. End-user means a user of a Product we provide to you. Excluded Event means: Fees means any fees and charges payable to us by you under this Agreement.

  • During the Contracted Term, and in connection with this Agreement only, you grant to us a non-exclusive, non-transferable, royalty-free right to use and reproduce Your Intellectual Property Rights.

  • During the Contracted Term, and in connection with this Agreement only, you agree to obtain written consent of and comply with relevant Third Party’s directions with respect to the use of Third Party Intellectual Property.

  • For No Term members or Contracted Term members who elect to pay by Direct Debit instalments, the first month’s membership fee (pro-rated as appropriate) is payable when this application form is submitted to ClubActive.

  • If you are a Contracted Term member who elects to pay upfront, the membership fee is payable when this application form is submitted to ClubActive.

  • If you are a Contracted Term member whose payments are up to date, you may transfer your membership to a person approved by ClubActive management in accordance with ClubActive’s Membership Transfer Policy available at clubactive.

  • Contracted Term members can cancel membership without charge if they move outside a 25km radius of the ClubActive listed as their home club, or for a medical reason which renders the relevant member unable to undertake any exercise regime for a period of three months or more (supported by certification evidence from a qualified medical practitioner, to ClubActive’s reasonable satisfaction).

  • Members cancelling their Contracted Term membership for any other reason must pay a $100 cancellation fee, or the remaining amount of membership fees for the balance of the Contracted Term (whichever is lower).

  • You shall either pay Price Changes: Fees for our Products will not be subject to change during a Contracted Term.

  • Conversant Technologies will extend the Customer Contracted Term for a further term of 36 months, unless termination of the “customer contract” is received 3 months prior to the expiration date.
