Contracted Area means the land area contracted in the Hectare Contract on which the Contracted Crop is grown. Contractor means a person or entity who is engaged by the Pool Operator to conduct activities on behalf of the Pool Operator. Early Exit Fee refers to the fee of $500 + GST that the Grower must pay to Flexi Grain in the event that the Grower leaves a Pool prior to the expiration of this Hectare Contract.

• Without prejudice to the rights that THE ASSOCIATE may legally have, as a consequence of legal regulations or pursuant to the provisions of this contract, ECOPETROL shall represent the Parties before the Colombian authorities with respect to the exploitation of the Contracted Area as required, and it shall submit to governmental officials and entities all the data and information which may be legally required.

• It is the share in the obligations and rights acquired by each of the Parties in the exploration and exploitation of the Contracted Area.

• Subject to clause 8.10, any further liability of the Option Holder in the case of sentence 1 shall be excluded.

• Are operations performed by THE ASSOCIATE in regard to the prospecting and discovery of Hydrocarbons in the Contracted Area.

• In the event that a portion of the Contract Area extends into areas included in the Colombian National Natural Parks system or other reserved, excluded or restricted zones, geographically limited the relevant authority, or whenever zones of the above mentioned characteristics extend into the Contracted Area, THE CONTRACTOR agrees to comply the conditions imposed on those areas by the relevant authority.

• The Exploitation Area shall be demarcated by a regular polygon, preferably four-sided, that includes the Commercial Field or the portion of it within the Contracted Area, plus a margin no greater than one (1) kilometer surrounding the Commercial Field, whenever the Contracted Area allows it.

• At any time, THE CONTRACTOR can make partial returns of the Contracted Area, as long as the fulfillment of the obligations pursuant hereto shall not be affected.
