The Broadcast Licenses listed in Schedule 4.15 with respect to any Contract Station include all material authorizations, licenses and permits issued by the FCC that are required or necessary for the operation of such Contract Station, and the conduct of the business of the Material Third-Party Licensee for such Contract Station with respect to such Contract Station, as now conducted or proposed to be conducted.

As of the date of this Agreement, at all times prior to Closing and at Closing, Sellers are not, and shall not be, in material violation of the rights of any third party or in material default or arrears under any Contract, Station License, or other obligation of Sellers that is relevant or material to the business and operations of the Stations, the Assets or the Transaction.
Without limiting the foregoing, if Station Parties is notified or otherwise becomes aware of Advertiser Content that violates the requirements of this Contract, Station Parties may (but shall not be required to) investigate the allegation and determine, in its sole discretion, whether to block or cease to distribute the SMS containing such Advertiser Content.
If Station is providing a web site pursuant to the Contract, Station owns all right, title and interest (including copyright) in such web site, except for the Advertiser Content on such site and the URL of such web site, the rights to which will belong to Advertiser, provided such URL does not include a trademark or trade name of Station or its affiliated entities.
All rights and obligations which arise under a Shared Contract other than the Shared Contract Station Rights and the Shared Contract Station Obligations shall be included in the Excluded Assets, the Company Retained Assets and the Retained Obligations, as applicable.
