Contract Speed means the minimum highest achievable speed of the Vessel prescribed in the Technical Specifications. “Contractor” means the person identified as such in the Articles of Agreement. “Contractor Personnel” means the persons nominated in Schedule 8 (as the same may from time to time be replaced) and all other employees, Sub-contractors (of whatever tier) and agents employed or appointed by the Contractor for the Contract from time to time and those employees and agents of such Sub-contractors (of whatever tier). “Contractor Representative” means any person duly authorised by the Contractor to act as its representative for and on its behalf. “Deliverables” means all tangible and intangible subject matters designed or produced or developed or provided by the Contractor pursuant to or for the purpose of the Contract separate from the Vessel including without limitation the Documentation, all Spare Parts, compilations of data and information, reports, plans, drawings, designs, models, photographs and all other materials which have to be finalised by the Contractor and approved by the Government in the design stage of the Vessel and those as required in the Technical Specifications which have to be delivered prior to, in preparation for, or upon, the Delivery Acceptance. “Delivery Acceptance” means the second part of the acceptance procedures for the Vessel and where applicable the Spare Parts and other Deliverables to be conducted in accordance with all applicable terms of the Contract including in particular the Technical Specifications. “Delivery Date” means in relation to a Vessel or Spare Parts or Deliverables as specified in Schedule 2, the deadline date as specified therein for delivery of such Vessel or Spare Parts or Deliverables to the Government Dockyard in Ready to Use condition. “Delivery Location” has the meaning given to it in Clause 13.2 of the Conditions of Contract. “desirable specifications” (upper or lower case) means those specifications in Part VII of the Tender Documents which are labelled [D]; “Director” means the Director of Marine. “Documentation” means operating manuals, user instructions, technical literature, system specifications and all other related materials in respect of the Vessel and all the Equipment which are required to be produced, developed, provided or up-dated by the Contractor in accordance with the Contract or which the Contractor has committed to provide in the Schedules. “Electronic Navigational Equipment” or “ENE” mea...
