Contract Signing Date means the date this Agreement is executed by the Parties;

  • If the Contract Signing Date occurs but no Final Cutover Date occurs as a result of a failure by the State to meet its obligations hereunder, then Provider shall be reimbursed by the State for Provider's reasonable and direct costs or expenses during the Ramp-Up Period associated with Exclusive Work Product or any plans prepared exclusively in connection with the provision of Services.
