2 Party Contract eContracting Services definition
2 Party Contract eContracting Services means the components of the eContracting Service that will enable Dealer to (i) create and execute documents as agent for the PFS entering into a 2 Party Contract using electronic signatures that constitute a 2 Party Contract that satisfies all applicable laws relevant to the creation and execution of a 2 Party Contract; and (ii) store the Records comprising such 2 Party Contract in such a manner that such PFS will have control of such 2 Party Contract under Section 9-105 of the Uniform Commercial Code, so as to be considered an AC, in each case in full compliance with all applicable laws relevant to the creation, execution and storage of such 2 Party Contract.
