Purchaser shall be responsible for and shall pay to each applicable Person that is a party to an Accepted Contract the respective Cure Amount for such Accepted Contract on the Contract Determination Date for such Accepted Contract.
With respect to each Assigned Contract, between the Closing Date and such Assigned Contract’s respective Contract Determination Date, Sellers shall provide, to the extent reasonably necessary for Purchaser to operate the Business after the Closing Date and at Purchaser’s sole cost and expense, a subcontract, sublease or sublicense, as may be applicable, to Sellers’ rights Related to the Business pursuant to such Assigned Contract.
Purchaser shall be responsible for, and shall pay in accordance with Section 2.7(c), all costs incurred by Sellers with respect to, and all amounts due by or on behalf of Sellers under, each Assigned Contract, together with all of Sellers’ reasonable, necessary, ordinary course, post-Closing obligations that are specifically attributable to each such Assigned Contract (the “Carrying Costs”) during the period from the Closing Date through the Contract Determination Date for each such Assigned Contract.
The rates in this Interim Contract Determination will give principal contractors more operational flexibility whilst compensating contract carriers at fair and reasonable cartage rates for work performed.
However, the aggregate earnings of a contract carrier under this agreement, averaged out over a period not exceeding 4 weeks, must not be less than the remuneration the contract carrier would have received had it been paid the applicable rates prescribed by the Transport Industry - General Carriers Contract Determination over the same 4 week period.
The Parties agree that all Contract Carriers involved in the Transport Industry shall be paid the rates of pay applicable under the Transport Industry Excavated Materials Contract Determination for the cartage of materials to, on and from the site.
The agreement applies only to those contract carriers as defined under the Agreement, who are the owner-drivers of vehicles undertaking contract of carriage for the single principal contractor, Hi-Trans Logisitics Pty Ltd., located at ▇▇ ▇▇▇▇▇ ▇▇▇▇, ▇▇▇▇▇▇▇▇▇ Park NSW 2164, who fall under the coverage of the Transport Industry - General Carriers Contract Determination 2017.
The company will use Contract Determination as a benchmark for rates.
The terms and conditions of this Agreement are in substitution of all provisions of the NSW Taxi Industry (Contract Drivers) Contract Determination, Consolidated Award 1984 and any other Award that may cover the activities of taxi driving in NSW, and the terms of the award and any protection award conditions, are expressly excluded from this agreement.
The parties to this Agreement further agree that all of the obligations arising pursuant to the Transport Industry – Courier and Taxi Truck Superannuation Contract Determination (“the Super Determination”) have been incorporated into or varied by the terms of this Agreement.
