The license described in this Section 3.1.2(a) shall terminate at the end of the Contingent Development Term.
On a Program-by-Program basis, and commencing on the expiry of the relevant Research Term (as may be extended pursuant to Section 2.1.2) for the relevant Program and on each anniversary thereafter during the Contingent Development Term, in consideration of Novartis retaining rights to the Commercial License and the exclusive rights set forth in Section 3.4 for the relevant Designated Target, Novartis will pay an annual license maintenance fee of $[**] for each such Program (the “Annual Maintenance Fee”).
