Consumer Offers means conversion offers extended to Eligible MMDS Subscribers (as defined below), pursuant to which the Eligible MMDS Subscriber may subscribe to the DIRECTV programming services distributed by Pegasus. The terms of the Consumer Offers are more fully described in Schedule 1.1. Notwithstanding the foregoing, the terms of the Consumer Offers may be amended by Pegasus from time to time.

Consumer Offers means conversion offers extended to Eligible MMDS Subscribers (as defined below) which offer consists of (a) a single room DIRECTV System with a "standard professional installation" therefor (as outlined in SCHEDULE 1) "***" when such Eligible MMDS Subscriber executes the Annual Programming Commitment Agreement attached hereto as SCHEDULE 2 (the "Single-Room Offer"); or (b) a two-room DIRECTV System bundle (i.e., two DIRECTV Receivers, two remote controls, one satellite dish and a dual LNB) with a "standard professional installation" therefor (as outlined in SCHEDULE 1) "***" when such Eligible MMDS Subscriber executes the Annual Programming Commitment Agreement (the "Two-Room Offer"). Notwithstanding the foregoing, the terms of the Consumer Offers may be amended by the mutual agreement of the parties. The Consumer Offers described herein may not be combined with any other DIRECTV consumer offers or otherwise without the prior written approval of DIRECTV, which approval may be withheld by DIRECTV in its sole discretion.

Examples of Consumer Offers in a sentence

  • Nucentrix shall not market, advertise or otherwise promote the Conversion Program or the Consumer Offers as contemplated herein to any persons or entities other than the Eligible MMDS Subscribers.

  • During the Term of this Agreement, Nucentrix shall extend the Consumer Offers to Eligible MMDS Subscribers and shall fulfill such Consumer Offers (except for actual delivery of DIRECTV programming) in accordance with the terms thereof.

  • The Consumer Offers generally require a prospective customer (i) to satisfy and meet the terms and conditions promulgated by DIRECTV from time to time and (ii) to make a programming commitment to a qualifying DIRECTV Programming Package.

  • The Consumer Offers will generally include promotional offers for new and existing DIRECTV Subscribers whereby residents of MDU Properties will be able to lease DIRECTV Systems from DIRECTV subject to offer requirements, with free standard installation.

  • DIRECTV will use its commercially reasonable efforts to provide sufficient advance notice of any changes, amendments or discontinuation of any Consumer Offers to enable Operator to make appropriate changes to its marketing, advertising and promotional materials and all communication made and disseminated to prospective customers.

  • Pegasus hereby appoints Nucentrix as its nonexclusive sales agent to solicit sales of, and take orders for, the Consumer Offers from Eligible MMDS Subscribers within the Territory, on the terms and conditions contained herein.

  • Operator acknowledges that the Policies promulgated by DIRECTV, the changes to compensation, the changes to the Consumer Offers and Standard Offers, any changes to the DIRECTV System program, the modifications to the Order Procedures, modifications to the Property Approval Process, and any other changes as permitted herein, do not constitute modifications requiring Operator’s written consent, so long as DIRECTV provides the applicable notice provided in this Agreement.

  • During the Term of this Agreement, Nucentrix shall extend the Consumer Offers to Eligible MMDS Subscribers and shall fulfill such Consumer Offers (except for actual delivery of DIRECTV programming services) in accordance with the terms thereof.

  • The Analog Bulk Programming Package may be made available on a bulk basis only and will not be subject to the Consumer Offers, Standard Offers or the Order procedures set forth above.

  • In addition, in lieu of requiring Operator to remit to DIRECTV any amounts collected by Operator on behalf of DIRECTV in connection with the Consumer Offers or Standard Offers, DIRECTV shall have the right to offset such amount against any compensation payable to Operator.
