Constructively Dismissed definition

Constructively Dismissed or "Constructive Dismissal" shall be deemed to have occurred if and when any of the following events or circumstances has occurred without the prior written consent of the Executive within eighteen (18) months of a Change in Control: (i) any material and adverse change in the title, status, position, job function, job responsibilities and/or reporting responsibilities of the Executive from those current at the date hereof; (ii) the assignment to the Executive of duties and responsibilities which are inconsistent with his current status and position; (iii) a reduction in the Executive's annual base salary; or (iv) a material reduction in the bonus compensation or other employee benefits available to the Executive.
Constructively Dismissed means that Employee resigns within 7 days after one of the following conditions has come into existence without his consent: (i) a reduction in Employee’s base salary or benefits; (ii) a material adverse change in Employee’s primary responsibilities, duties or seniority; (iii) a geographical relocation of the Employer’s corporate headquarters, or the Employee’s primary business location, to a location that is more than 35 miles from the then-present location of the Employer’s corporate headquarters or Employee’s primary business location, as the case may be; (iv) any breach by the Employer of this Agreement which is material and which is not cured, or is not capable of being cured, within 30 days after written notice

Examples of Constructively Dismissed in a sentence

  • In the event of the Death or Disability of the Employee or the Employee is found to have been Constructively Dismissed, the only Severance (which includes damages as provided for above) that the Employee will be entitled to is as provided for in this section.
