Constructive Resignation definition

Constructive Resignation means the Participant’s voluntary termination of employment by the Corporation as a result of the Participant’s habitual neglect or gross negligence in the performance of the Participant’s duties and responsibilities that has a material adverse effect on the business or financial condition of the Corporation, after written notice from the Board setting forth the facts in reasonable detail constituting habitual neglect or gross negligence that the Participant does not cure within thirty (30) days of such notice.

  • Constructive Termination means:

  • Constructive Termination Without Cause means a termination of the Executive's employment at his initiative as provided in this Section 10(c) following the occurrence, without the Executive's written consent, of one or more of the following events (except as a result of a prior termination):

  • Voluntary Termination means termination by the Employee of the Employee's employment with the Company, excluding termination by reason of Employee's death or disability as described in Sections 2.5 and 2.6.

  • Voluntary Resignation means any Termination by Employee for any reason other than a Constructive Termination.

  • Involuntary Termination Without Cause means Executive’s dismissal or discharge other than for Cause. The termination of Executive’s employment as a result of Executive’s death or disability will not be deemed to be an Involuntary Termination Without Cause.
