  • If Seller achieves Commercial Operation on or before the Milestone deadline as set forth in Section 4.3(b)(ii), as such deadline may be extended in accordance with Section 4.3(e), Buyer shall promptly refund all Development Liquidated Damages previously received as a result of Seller’s failure to meet the Construction Start Date Milestone deadline as set forth in Section 4.3(b)(i).

  • Construction Start Date means the later to occur of the date on which Seller delivers to Buyer (a) a copy of the Notice to Proceed that Seller has delivered to the EPC Contractor for the Project, and (b) a written Certification substantially in the form attached hereto as Appendix IV-1.
