The Construction Oversight Fee shall be paid on a monthly basis on or before the 5th day of each calendar month based on an agreed to schedule between the Company and Manager as it relates to each applicable Construction Project.
The Construction Oversight Fee shall be calculated based on hard and soft project costs for the Alterations that were approved by Landlord for the portion of work that has been performed and invoiced and shall be payable monthly in arrears concurrent with the approved hard and soft project costs for the Alterations during the applicable month.
In connection with any construction or development of the Gaming Facility for any Subsequent Phase of the Project, the fee shall be equal to four percent (4%) of the amount expended by the Tribe, the Authority or any of their Affiliates on costs included in the Project Construction Contract, excluding the Development Design Services Fee and the Construction Oversight Fee for such phase.
