At the Final Completion of the Project, a Memorandum of Final Acceptance will be issued in conjunction with a Final Change Order to remove any monies in excess of the Construction Manager’s Fee, General Conditions, Cost of Work, and any Cost Savings due to the ▇▇▇▇, from the GMP.
The Contract Sum is the Cost of the Work as defined in Article 7 plus the Construction Manager’s Fee.
The costs of legal defenses, judgments, and settlements shall not be included in the Cost of the Work used to calculate the Construction Manager’s Fee or subject to the Guaranteed Maximum Price.

The Work may be suspended by the Owner as provided in Article 14 of AIA Document A201–2017; in such case, the Guaranteed Maximum Price and Contract Time shall be increased as provided in Article 14 of AIA Document A201–2017, except that the term "profit" shall be understood to mean the Construction Manager’s Fee as described in Sections 6.1 and 6.3.5 of this Agreement.
Payment shall include the Construction Manager’s Fee and General Conditions Costs for work and/or services performed.
CMAR agrees to furnish and perform, as a part of the Construction Manager’s Fee and Overhead/Profit without reimbursement, said overhead items.
