Constating Document definition

Constating Document means the articles of incorporation, bylaws, memorandum of association, partnership agreement or similar constituting documents of a Person.
Constating Document means the charter, the memorandum, the articles of association, the articles of incorporation, the articles of continuance, the articles of amalgamation, the bye-laws, the partnership agreement, the limited partnership agreement or any other instrument pursuant to which an entity is created, incorporated, continued, amalgamated or otherwise established, as the case may be, and/or which governs in whole or in part such entity’s affairs, together with any amendments thereto.
Constating Document means, in respect of a Person, the articles of incorporation, amalgamation or continuance, bylaws, memorandum of association, partnership agreement or similar constituting document of a Person, as the case may be.

  • In the event of any inconsistency or conflict between this Agreement and any Constating Document, the Shareholders and the Company shall, to the extent permitted by Applicable Law, amend such Constating Document to comply with the terms of this Agreement.

Constating Document means, with respect to any Person, its articles or certificate of incorporation, amendment, amalgamation or continuance, memorandum and articles of association, constitution, letters patent, supplementary letters patent, by-laws, partnership agreement, limited liability company agreement or other similar document, and all unanimous shareholder agreements, other shareholder agreements, voting trusts, pooling agreements and similar Contracts, arrangements and understandings applicable to the Person’s equity interests, all as amended, supplemented, restated and replaced from time to time;
Constating Document means, relative to Borrower or its Subsidiaries, if any, its certificate of incorporation, formation or organization, its by-laws, operating agreement or other similar agreement and all shareholder agreements, voting trusts and similar arrangements applicable to any of its authorized shares of common stock.
Constating Document means with respect to (a) ADM, its Articles of Continuance dated September 3, 1998 and (b) ADC, the Articles of Amalgamation of Aber Resources Ltd. (now ADC) dated April 19, 1994 and the certificate of change of name dated August 3, 2000 and the articles of continuance dated July 12, 2002, a certified copy of foregoing items (a) and (b) being contained in the Contract Binder.
