CONSOLIDATED FINANCIAL STATEMENTS OF THE BORROWER means the Consolidated balance sheet of the Borrower and Subsidiaries as at December 31, 2000 and 1999 and the Consolidated statements of income, shareholders' equity and cash flows for each of the three years in the period ended December 31, 2000, and the Notes to Financial Statements in respect thereof, together with the Report of PricewaterhouseCoopers LLP, independent accountants, in respect thereof, all as set forth at pages 53 through 80, inclusive, of the Annual Report on Form 10-K for the Borrower for the year ended December 31, 2000, a copy of which has heretofore been delivered to each of the Lenders.
