Consolidated Fees definition

Consolidated Fees means the Initial Licence Fee and the Annual Licence Fees payable by the Licensee to INSOURCE for the provision of the Licensed Software as set out in the Agreement and the relevant IPA (payable in accordance with paragraph 7(a)).

Examples of Consolidated Fees in a sentence

  • Neither party will be liable to the other for any failure or delay in performance under the Agreement (other than the Licensee's obligation to pay the Consolidated Fees) due to circumstances beyond its reasonable control, including Acts of God, acts of war, terrorist acts, accident, labour disruption, acts, omissions and defaults of third parties and official, governmental and judicial action not the fault of the party failing or delaying in performance, or the threat of any of the foregoing.

  • Fees for the use of Facilities are increased annually, in compliance with the City’s Consolidated Fees Bylaw No. 8636.

  • Consolidated Fees for partial Contract Years will be prorated and will be due on the first day of such partial Contract Year, unless otherwise stated in the applicable IPA.

  • INSOURCE reserves the right to modify its Consolidated Fees and shall give the Licensee 30 days' notice of any such modifications to its Consolidated Fees.

  • These may include, but are not limited to, the activities and estimated amounts as follows: Enrolment fee $100 Home Stay fees $360 p/w approximately Overseas Student Health Cover $700 p/an School Uniforms $1000 Books, stationery, etc $450 Consolidated Fees cover compulsory extras applicable to each Year Level, for example the student diary, camps/excursions, incursions, library and laboratory materials, ID cards and other required classroom materials.

  • The Consolidated Fees do not include any third party licences that may be required to run the Licensed Software which shall be separately due and payable.

  • Subject to the terms and conditions of the Agreement (including without limitation, early termination) and the Licensee paying the Consolidated Fees in accordance with Section 7, INSOURCE grants the Licensee a non-exclusive, non-transferable licence (without the right to sub lease or sub licence) valid from the Effective Date and terminating on the last day of the Licence Duration, to use and copy for use the Licensed Software for the Licensee's own, internal computing operations.

  • The Consolidated Fees do not include any third- party licences that may be required to run the Licensed Software which shall be separately due and payable.

  • Subject to the terms and conditions of the Agreement (including without limitation, early termination) and the Licensee paying the Consolidated Fees in accordance with Section 7, INSOURCE grants the Licensee an annual non-exclusive, non-transferable licence (without the right to sub lease or sub licence) valid from the Effective Date and terminating on the last day of the Licence Duration, to use and copy for use the Licensed Software for the Licensee's own, internal computing operations.

  • Consolidated Fees for partial Contract Years will be prorated and will be due on the first day of such partial Contract Year, unless otherwise stated in the applicable Insource Purchase Agreement.
