Consolidated Amount definition
Consolidated Amount means, with respect to the number of Shares held by any Person at a given time, the sum of (i) the number of LLC Capital Units plus (ii) the number of shares of Corporation Capital Stock owned of record by such Person, in each case assuming full conversion and/or exercise, as applicable, of all Preferred Units, Preferred Stock and other Derivative Securities owned of record by such Person.
Consolidated Amount has the meaning specified in the recitals of this Agreement.
