Consent Solicitation Documents means the (a) the offer to purchase for cash and solicitation of consents statement dated March 8, 2006 and the transmittal letter enclosed therewith, (b) the consent and letter of transmittal to be used by holders tendering securities pursuant to the Consent Solicitation, (c) any press releases or newspaper advertisements relating to the Consent Solicitation, (d) the Third Supplemental Indenture, and (e) any other material furnished by or with the written consent of ANSYS to holders of the Senior Subordinated Notes in connection with the Consent Solicitation (in each case, together with all information and documents incorporated by reference therein).

Consent Solicitation Documents means each of the documents distributed to holders of the 13% Senior Subordinated Notes or otherwise entered into by the Borrower or any of such holders in connection with the consummation of the -107- 115 Consent Solicitation, including, without limitation, the 13% Senior Subordinated Note Consent and the 13% Senior Subordinated Note Indenture Supplement.

• Parent and the Company shall reasonably cooperate with each other in the preparation of the Consent Solicitation Documents.

• The Company shall use its reasonable best efforts to obtain the consent of the requisite holders of the 2022 Notes and, if applicable, the 2018 Notes necessary to effect the amendments to the 2022 Indenture and, if applicable, the 2018 Indenture contemplated by the Consent Solicitation Documents.

• APLP, the Company and the Purchasers shall cooperate, and shall use commercially reasonable efforts to cause their respective Representatives and advisors to cooperate with each other in the preparation of the MTN Noteholder Consent Solicitation Documents.

• Subject to Section 5.1(e), the Board has recommended that the holders of Seller Common Units consent to the matters included in the Requisite Unitholder Consent (the “Seller Recommendation”), and the Seller shall include the Seller Recommendation in the Consent Solicitation Documents.

• Without limiting the generality of the foregoing, holders of not less than 95% of the outstanding principal amount of the Senior Subordinated Notes shall have tendered their Senior Subordinated Notes for redemption and consented to the Third Supplemental Indenture, all as contemplated by the Consent Solicitation Documents, and the Third Supplemental Indenture shall, subject to payment of the consideration set forth therein, be in full force and effect.

• The Company and the Purchasers shall cooperate, and shall use commercially reasonable efforts to cause their respective Representatives and advisors to cooperate with each other in the preparation of the Debentureholder Consent Solicitation Documents.

• Without limiting Section 6.12(a), and subject to the limitations of Section 6.12(b), the Company shall use its reasonable best efforts, and shall cause its Subsidiaries to use their reasonable best efforts to, in each case, at Parent’s sole cost and expense, if requested by Parent, execute (in a form reasonably acceptable to the Company), file (if applicable) and deliver the Offer and Consent Solicitation Documents and any Note Enhancement Documents.

• The Company shall provide Parent with copies of the Consent Solicitation Documents.

More Definitions of Consent Solicitation Documents

Consent Solicitation Documents means the Offer to Purchase and Consent Solicitation Statement of the Company dated April 14, 2004, relating to the notes issued pursuant to the Subordinated Indenture, together with any modifications to such Consent Solicitation Documents, so long as such modifications are reasonably acceptable to the Global Agent.

Consent Solicitation Documents means the Senior Note Consent Solicitation Documents and the Subordinated Note Consent Solicitation Documents.
