Consent or Consents definition
Consent or Consents means any consent, waiver, approval, permit, license or authorization of, or notice, declaration or filing with, (a) any governmental body, and (b) any other Person (including, but not limited to, any party to a lease or other agreement or commitment of the Company exclusively related to the Business) required to be obtained or given in connection with the execution, delivery and performance of this Agreement or the consummation of the Contemplated Transactions.
Consent or Consents means the resource consent/consents held or relied upon by HWP to construct, maintain and operate the Scheme including the Discharge Consent and Land-Use Consent, to take and use water for the Scheme and to discharge Nutrients and includes all other such consents deemed necessary by HWP from time to time and any associated or auxiliary consents and amendments or variations thereto.
Examples of Consent or Consents in a sentence
Any action that is required or permitted to be taken by vote of the Members may be taken without a meeting, without prior Notice and without a vote, if a Consent or Consents setting forth the action so taken shall be signed by Members holding Member Interests constituting not less than the minimum percentage of Member Interests that would be necessary to authorize such action at a meeting at which all of the Members were present and voted.
Such written Consent or Consents will be filed with the minutes of the proceedings of the Members.
Such Consent or Consents shall be filed with the General Partner.
