After the TIW has been completed, if it is determined that the total payments under the contract with the General Contractor were actually less than the Contract Price, the savings shall be refunded to Tenant, and any savings in the cost of constructing the Connector Bridge shall belong to Landlord, as more specifically set forth in the Construction Escrow Agreement.
If Tenant fails to notify Landlord in writing, within said five (5) business day period, of Tenant’s approval of the Connector Bridge design which requires such changes and of Tenant’s desire to have Landlord proceed with the construction of the Connector Bridge notwithstanding the estimated delays (if any), then such design changes shall be deemed to be disapproved and Landlord shall be under no further obligation to construct the Connector Bridge.
The amount by which the actual total Cost of Improvements for the Connector Bridge exceeds $800,000 is hereinafter referred to as the “Excess Connector Bridge Cost”: provided, however, that in no event shall the Excess Connector Bridge Cost exceed $755,878 for purposes of this Paragraph 1.
