Conforming Goods definition

Conforming Goods means all Goods that are in accordance with the obligations under the sales order.
Conforming Goods means Products that are manufactured or sourced by Supplier for or on behalf of LESCO that meet or exceed the Specifications and Quality Standards; provided, however, that fertilizer blends produced with the existing Ranco blenders at the Sebring, Florida facility will not be considered non-conforming until such time as Supplier modifies, upgrades, replaces or no longer uses the Ranco blenders.

  • As to returned Non-Conforming Goods (and as to rejected Non- Conforming Goods, but only if Buyer so directs), Seller shall promptly, at its expense, and at Buyer’s election, repair or replace such Non-Conforming Goods.

  • If KDDIA determines that the Products are Non-Conforming Goods, it shall either, in its sole discretion (i) replace the Non- Conforming Goods with conforming Products, or (ii) refund the Price for the Non-Conforming Goods Customer shall ship, at its expense, all Non-Conforming Goods to KDDIA at an address specified by KDDIA in writing.

  • If any goods are Non- Conforming Goods, Purchaser may reject the goods in their entirety or require price adjustments to compensate for expenses incurred to meet the required specifications.

  • If Seller fails to timely deliver Goods to replace Non- Conforming Goods, Buyer may replace such Non-Conforming Goods with goods from a third party, charge Seller the difference in cost and terminate this Order for cause.

Related to Conforming Goods

  • Nonconforming Goods means only the following: (i) product shipped is different than identified in Buyer's purchase order; or (ii) product's label or packaging incorrectly identifies its contents.
