Recipient shall be responsible for the acts or omissions of any persons or entities receiving Confidential Items of the other party from or through Recipient to the extent such acts or omissions, if performed or not performed by Recipient, would constitute violations of this Agreement by Recipient.
Disclosure or dissemination of Confidential Items of the other party to additional persons or entities requires the prior written approval of such other party.
The terms of this Agreement shall be deemed Confidential Items of each party and treated as such by both parties.
However, the aforementioned investigators will provide LICENSEE with copies of articles reporting on research involving the Licensed Patents as soon as practicable but in no event later than simultaneously with their submission for publication to a peer-reviewed publication and will timely provide an outline of any other public disclosure in order to provide LICENSEE an opportunity to determine if LICENSEE Confidential Items will be disclosed.
The terms of this Agreement shall be deemed Confidential Items of each Party and treated as such by both Parties.
The Purchaser shall continue to obtain the Confidential Items only from the Company, and the Company undertakes to maintain such stock of Confidential Items as may be necessary to enable it to supply such items to the Purchaser no later than the second Business Day after receipt of any order therefor from the Purchaser.
If such consent is granted, the Confidential Items shall not be disclosed prior to Seller’s receipt of an Acknowledgment and Disclaimer Agreement as attached hereto as Exhibit I from the (a) individual, (b) corporation, limited partnership, general partnership, limited liability company, trust, or other business entity of any kind or nature, and/or (c) any governmental body or entity of any kind or nature (each, a “Person”) to whom the Confidential Items are being disclosed.
Disclosure or dissemination of Confidential Items of the other party to additional persons or entities requires the prior written approval of such other party, which consent shall not be unreasonably withheld.
In addition, Seller shall from time to time during the Due Diligence Period deliver or otherwise make available to Buyer for Buyer's review and inspection, and in each case only to the extent the materials are in Seller's possession or control, copies of such other documents, materials and information materially relating to the ownership or operation of the Property that Buyer reasonably requests, but excluding any Proprietary and Confidential Items.
Copying or reproduction of Confidential Items except as permitted herein is strictly prohibited.
