Conditional Options definition

Conditional Options means the Jetty Options, the Wana Options and the Cultiv8 Option;

Examples of Conditional Options in a sentence

  • Long-Stop Date If the Conditions Precedent are not satisfied or waived within nine (9) months from the date of the Conditional Options and Convertible Notes Subscription Agreement (or such other date as may be mutually agreed between the Company and the Subscriber), the Conditional Options and Convertible Notes Subscription Agreement shall terminate.

  • If the Conditional Options and Convertible Notes Subscription Agreement is terminated in accordance with its terms, the Conditional Subscription Agreement shall automatically be terminated.

  • All the transactions contemplated by the Conditional Options and Convertible Notes Subscription Agreement to be consummated at Options Completion shall be deemed to occur simultaneously, and no such transaction shall be deemed consummated unless all such transactions are consummated.

  • If the Conditional Options and Convertible Notes Subscription Agreement or any Debt Assignment Agreement is terminated in accordance with its terms, the Conditional Subscription Agreement shall automatically be terminated.

  • Conversion Price The conversion price per Convertible Note is the Issue Price, subject to adjustments (a) in tandem with the Issue Price and the Minimum Issue Price; and (b) as summarised below in Adjustments, in accordance with the Conditional Options and Convertible Notes Subscription Agreement (the “Conversion Price”).

  • Our fees will be prorated for the number of elapsed days of the billing period before termination and direct- ly deducted from your Designated Account.

  • The Conditional Subscription Agreement, the Conditional Options and Convertible Notes Subscription Agreement, the Deposit Agreement, the Deed of Obligations and the Absolute Assignment of Insurance are available for inspection during normal business hours from 9.00 a.m. to 5.00 p.m. at the registered officer of the Company at 000X Xxxxxxxxx Xxxx, #00-00/00 Xxxxxxxxx Xxxxxxxxxx, Xxxxxxxxx 000000 for a period of three (3) months from the date of this Announcement.

Related to Conditional Options

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Incentive Shares means an award of shares granted pursuant to Section XIII.

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Restricted Share Units means an Award which may be earned in whole or in part upon the passage of time or the attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.
