Conditional Option definition

Conditional Option shall have the meaning set forth in Section 6.08.
Conditional Option means the Conditional Option Agreement of even date herewith to be entered into between Atmel and Highbridge relating to the plot of land being retained by Atmel (located near the parking area to the office building) which is subject to the contract dated 15 November 2006 among (i) Atmel, (ii) Sandalbeech Limited and (iii) Honda Motor Europe Limited;
Conditional Option means an option granted pursuant to paragraph 5 below to subscribe for Ordinary Shares that is for the time being outstanding.

  • If the Committee shall have so determined to grant such new options on such a conditional basis ("New Conditional Options"), no such New Conditional Option shall become exercisable in the absence of such employee's consent to the condition and surrender and cancellation as appropriate.

  • The exercise price of the Conditional Option shall be equal to the Initial Share Consideration plus $0.125.

  • Thus contradictions form part of the belief set K and we will say K or P is inconsistent.

Related to Conditional Option

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Stock Purchase Right means a right to purchase Common Stock pursuant to Section 11 below.

  • Conditional Award means a conditional right to acquire Shares granted under the Plan;

  • Director Option means an Option granted pursuant to Section 6.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.

  • Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Renewal Option has the meaning set forth in §12.1.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Option Right means the right to purchase Common Shares upon exercise of an option granted pursuant to Section 4 of this Plan.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.

  • Approved 102 Option means an Option granted pursuant to Section 102(b) of the Ordinance and held in trust by a Trustee for the benefit of the Optionee.

  • First Option has that meaning set out in Section 3.1 (a);

  • Extension Option shall have the meaning set forth in Section 2.5(c) hereof.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Covered Call Option means an exchange traded option entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities (excluding Futures Contracts) which are owned by the writer thereof and subject to appropriate restrictions.

  • Stock Purchase Rights means any warrants, options or other rights to subscribe for, purchase or otherwise acquire any shares of Common Stock or any Convertible Securities.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.
