If the utility charges cannot be segregated, a utility payment shall be made by Concessionaire to Department as additional compensation in addition to the Concession Payments under Paragraph 4.
If a Department Change results in Concessionaire Damages, the Department shall compensate the Concessionaire in accordance with Sections 13.02 and 13.03; provided, that any Positive Revenue resulting from a Department Change shall be shared equally between the Concessionaire and the Department, in addition to and without regard to any amounts payable under Article 5, and the Department’s share of such Positive Revenue shall be paid by the Concessionaire and deposited in the Concession Payments Account.
Any proffers received in connection with the Project shall be deposited to the Concession Payments Account.
The Department’s share of any such savings shall be funded in accordance with the Initial Project Financing Agreements and such share shall be deposited to the Concession Payments Account on the Closing Date.
During the Work Period, the Concessionaire may submit requests, with the written concurrence of the Department Representative, to the Chairman of the CTB for allocation of any amounts in the Concession Payments Account to fund any portion of additional costs of the Project, including without limitation, costs associated with bicycle and pedestrian accommodations.
Through execution of this Settlement Agreement, the County is agreeing to apply all Base Concession Payments to fund the environmental liabilities associated with the Former Urban Landfills (as defined below) and the expected Baseline Administrative Costs (as defined below).
In addition, in exchange for the County granting Republic an exclusive right to operate the County Facilities, Republic is required to pay County Base Concession Payments (as defined below) for all waste sent to the County Facilities.
The County, upon not less than 5 business days’ prior notice to Contractor, may cause an audit to be made of the County Concession Payments, the Waste Management Agency Fees, the diversion tonnage requirements and all of the Transaction Records necessary (in the County’s reasonable judgment) to audit such fees and obligations hereunder.
The Base Concession Payments will fluctuate over the term of this Settlement Agreement based on actual tons delivered to the County Facilities.
All late Concession Payments shall be assessed a monthly penalty of five percent (5%) of the total amount due.
