Con dential Information means any information of a con dential nature concerning the disclosing party or its Group including commercial, nancial, product, technical or software information, know how, trade secrets, and passwords;
Con dential Information means any and all con dential information or proprietary materials (in every form and media), including, but not limited to, (a) trade secrets, (b) con dential information regarding existing or contemplated products, services, designs, technology, processes, technical data, techniques, methodologies, and any information related thereto, (c) con dential business plans, nancial reports, nancial data, employee data, customer lists, forecasts, strategies, and all other con dential business information; and (d) con dential information regarding software programs, algorithms, speci cations or code (regardless of whether in source or object form), product designs and/or speci cations, inventions, unpublished patent applications, manufacturing or other technical or scienti c know-how, technical drawings, diagrams, schematics, technology, processes, and any other trade secrets, and con dential discoveries, ideas, concepts, know-how, techniques, materials, formulae, compositions, information, data, results, plans, surveys and/or reports of a technical nature or concerning research and development activity, and which has been or is hereafter disclosed or made available by ACTION1 to Company (whether orally, visually, in writing or otherwise) in connection with the proposed Relationship. Con dential Information may also include the portion of any copies, notes, abstracts, and other tangible embodiments made by Company that are based on or contain any of such Con dential Information, as well as the existence and progress of the Relationship.
Con dential Information. All information disclosed by a party (the “Disclos- ing Party”) to the other party (the “Receiving Party”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. In particular any infor- mation related to the business, affairs, products, developments, trade secrets, know-how, personnel, customers and suppliers of either party should be regarded as confidential.

Examples of Con dential Information in a sentence

  • The Resident understands that any mobile device (Smart phone, PDA, etc.) that synchronizes Hospital data (e.g., Hospital email) may contain Con dential Information and as a result, must be protected.

  • Receiving Party shall hold and maintain the Con dential Information in strictest con dence for the sole and exclusive bene t of the Disclosing Party.

  • The Resident will not copy or store Con dential Information on removable media or portable devices such as laptops, personal digital assistants (PDAs), cell phones, CDs, thumb drives, external hard drives, etc., unless speci cally required to do so by his/her job duties and provided the Resident will encrypt the information while it is on the media according to Hospital Information Security Standards.

  • Con dential Information does not include information that, at the time of disclosure is: (a) in the public domain; (b) known to the receiving Party at the time of disclosure; (c) rightfully obtained by the receiving Party on a non-con dential basis from a third party; or (d) independently developed by the receiving Party.

  • Each permitted employee to whom Con dential Information is disclosed shall sign a non- disclosure agreement substantially the same as this Agreement at the request of CREATIVITY JUSTIFIED, LLC.

  • The Parties acknowledge that certain proprietary and/or technical and business information may be disclosed between the Parties ("Con dential Information").

  • If Con dential Information is in written form, the Disclosing Party shall label or stamp the materials with the word "Con dential" or some similar warning.

  • If Con dential Information is transmitted orally, the Disclosing Party shall promptly provide writing indicating that such oral communication constituted Con dential Information.

  • The recipient shall maintain the con dentiality of the disclosing party’s Con dential Information with reasonable care and at least the same degree of care as the recipient exercises to protect its own con dential, proprietary and trade secret information.

  • The recipient shall not disclose the disclosing party’s Con dential Information to the recipient’s parent company, any subsidiary, or any other af liate without the prior written consent of the disclosing party.


More Definitions of Con dential Information

Con dential Information means all trade secrets, know-how, software and other nancial, business or technical information of ASCI or any of its suppliers that is disclosed by or for ASCI in relation to this Agreement, but not including any information USER can demonstrate is (a) rightfully furnished to it without restriction by a third party without breach of any obligation to the Licensor, (b) generally available to the public without breach of this Agreement or (c) independently developed by it without reliance on such information. All Software and Documentation is Con dential Information.
Con dential Information with respect to the Disclosing Party (herein de ▇▇▇), means any information or materials, that is of any value or signi cance to the Disclosing Party, not generally known to competitors of the Disclosing Party, nor intended by the Disclosing Party for general dissemination, which is marked “Con dential”, “Proprietary” or with a legend of similar import or with respect to which the Recipient (herein de ▇▇▇) otherwise at any time knows, or has reason to know, that the Disclosing Party intends or expects the secrecy or con dentiality thereof to be maintained.
Con dential Information means any information or material which is proprietary to CREATIVITY JUSTIFIED, LLC., whether or not owned or developed by CREATIVITY JUSTIFIED, LLC., which is not generally known other than by CREATIVITY JUSTIFIED, LLC., and which Client may obtain through any direct or indirect contact with CREATIVITY JUSTIFIED, LLC.
Con dential Information means information that one pa y or its A liate (“Disclosing Pa y”) discloses to the other pa y (“Recipient”) under this Looker License Agreement, and that is marked as con dential or would normally be considered con dential information under the circumstances. Customer Data is Customer’s Con dential Information. Con dential Information does not include information that is independently developed by the recipient, is shared with the recipient by a third pa y without con dentiality obligations, or is or becomes public through no fault of the recipient.
Con dential Information means any information, business plan, concept, idea, know-how, process, technique, program, design, formula, prototype, algorithm, speci cations, design plans, software documentation or work in process, any engineering, manufacturing, marketing, pricing, technical, nancial, data, or sales information, or any information regarding suppliers, customers, employees, investors, or business operations, and any other information or materials, whether in written, or graphic, or any other form or that is and whether disclosed orally, or electronically, whether tangible or intangible and in whatever form or media provided, whether or not designated as “Con dential”, “Proprietary” or some similar designation if by the substance of the disclosure or the circumstances surrounding the disclosure, the information would be reasonably considered con dential or proprietary, or otherwise which is learned or disclosed in the course of discussions, studies, or together work undertaken between the parties.
