Compound Information definition

Compound Information means with respect to a given Compound, a brief summary of all material data readily available and known to Ascentage that relate to the biological activity of such Compound.
Compound Information means, for the purposes of this Agreement, any confidential or proprietary Information of AAT (or of another person which has been entrusted to AAT) disclosed by AAT to Axys (pursuant to this Agreement), including, without limitation, (a) the Protocols, (b) the AAT Know-How, (c) the Structural Database and (d) any other Information of AAT (or of another person which has been entrusted to AAT) relating to the Combinatorial Chemistry Library that may be provided by AAT to Axys hereunder; provided, that for the purposes of this Agreement, any Information which first becomes known to or entrusted to AAT after the Effective Date shall not constitute Compound Information unless it specifically pertains to the structure, manufacture or activity of specific compounds within the Combinatorial Chemistry Library.
Compound Information shall have the meaning as set forth in Section 2.5 below.

  • For clarity, Unity expressly agrees that it shall use the Compounds and Compound Information transferred to Unity solely for the limited purposes of Compound Screening and the evaluation, development and optimization of Compounds in accordance with the terms of this Agreement and that the Compounds and Compound Information transferred to Unity shall not otherwise be used in conducting any screening or research aimed at identifying Compounds for use in the prophylaxis or treatment of Oncology Indications.

  • For the avoidance of doubt, Exclusive Library Compound Information includes [**] and [**] and [**] with respect to the relevant Exclusive Library Compound.

  • Amgen shall use commercially reasonable efforts to terminate use of all Library Compound Information in its possession (except to the extent permitted in clauses (A), (C) and (D)).

  • Notwithstanding the foregoing, the parties acknowledge that Ascentage has previously provided Unity with the Prior Compounds and that Ascentage’s supply obligation under this Section 2.2.2 with respect to such Prior Compounds (other than with respect to Compound Information and chemical structures for such Prior Compounds not previously supplied to Unity) is deemed satisfied in full as of the Effective Date.

  • Amgen shall use commercially reasonable efforts to terminate its use of all Library Compound Information in its possession (except to the extent permitted in clauses (A) and (C)).

  • For the avoidance of doubt, Library Compound Information includes [**].

  • In the event that Amgen identifies any Amgen Independent Compounds, Amgen shall promptly provide written notice to Infinity that such Amgen Independent Compound(s) has been discovered and shall stop using the relevant Library Compound and the related Library Compound Information received from Infinity.

  • In addition, together with such Compound Information Ascentage shall provide Unity with the chemical structure of all Existing Compounds, provided that Ascentage shall not be obligated to provide Unity with the structure of any Existing Compounds for which Patents have been not been filed until such time as Patents have been filed with respect to such Compounds.

  • At the time of delivery of such Existing Compounds, Ascentage shall also provide Unity with any Compound Information for such Compounds not previously supplied to Unity pursuant to Section 2.2.1. Ascentage shall provide supplemental information regarding the Compounds as reasonably requested by Unity for use in Unity’s screening and evaluation of the Compounds [***].

  • At the time of delivery of each Plate, Exelixis shall deliver to Cytokinetics Program Compound Information substantially relating to each Compound contained on such Plate.

Compound Information means, with respect to a Party, Information owned or Controlled by such Party or its Affiliates or, in the case of ▇▇▇▇▇▇▇ Pharma, its Sublicensees, regarding the Licensed Compound and Products (including use with Delivery Means if applicable) that is necessary or useful to the development of Licensed Compound and the Regulatory Approval and commercialization of Products for use in the Field; provided, however, that Compound Information shall not include any Manufacturing Information except for such Information as is necessary for ▇▇▇▇▇▇▇ Pharma to conduct the Development work required herein, which includes the Specifications, analytical methods, reference standards, dry substance properties and characteristics, and impurity profiles.
