Composite Mark definition

Composite Mark shall have the meaning set forth in Section 4.3(a).
Composite Mark has the meaning in clause 2.7 of Schedule 2 (NV Trademarks);
Composite Mark means a special purpose Team Indicia that (A) includes (1) any Name or Team Image or Team Trademark, and (2) one or more Stadium Design Marks, and (B) is created during the Term of this Agreement by or on behalf of the Team in connection with Advertising, sponsorship, promotion and other permitted activities of the Team provided for by this Agreement.

Examples of Composite Mark in a sentence

  • The Parties acknowledge and agree that the ownership arrangements with respect to Composite Marks to which the Parties have agreed are for convenience and a Party’s ownership of a Composite ▇▇▇▇ does not confer on such Party any ownership interest or other rights in any such constituent element of such Composite Mark that constitutes a discrete Trademark of the other Party.

  • For example, “KELLOGG’S ALL-BRAN” constitutes a Composite Mark, of which WKKC’s ownership in the “ALL-BRAN” Trademark does not confer on WKKC any ownership or other rights in “KELLOGG’S” Trademark, which constitutes a Kellanova-Owned Mark.

  • Neither Party shall, and each Party shall cause its sublicensees not to, apply to register or obtain registration in any country for any Composite Mark, except that the Team may sublicense to the NFL the right to file applications for US state registrations (but not US federal registrations) of Composite Marks.

  • Subject to the terms and conditions set forth in this Agreement, the EU grants to the National Authority a royalty-free, non-transferable sole licence to use the Composite Mark in conformity with the Field of Use and for the Territory.

  • Upon the request of NV, and at NV’s sole cost and expense, Company shall execute (or cause its Affiliates to execute, as applicable) additional documents and take (or cause its Affiliates to take, as applicable) such other actions as may be reasonably necessary in order for NV to perfect, register, enforce or defend any and all of its rights, title or interests in or to any Composite Mark.

  • Upon learning of any actual or potential infringement or other violation of any of the Licensed Trademarks licensed hereunder by a Licensor or any Composite Mark, the Licensee agrees to promptly notify the Licensor.

  • The BUZZTIME Technologies, the BUZZTIME Marks and any and all goodwill inuring to the BUZZTIME Marks (including when used as part of a Composite Mark), ▇he BUZZTIME Content and BUZZTIME's and its Affiliates' Confidential Information (collectively, the "BUZZTIME PROPERTY") are and will remain the sole and exclusive property of BUZZTIME, whether separate or combined with any other property (subject to the exclusions in relation to the Composite Marks, as referred to above).

  • NV shall solely and exclusively own any and all Composite Marks and Company will not assert any ownership rights in any Composite Mark.

  • With regard to a Composite Mark, in the event of any actual or potential infringement or other violation of a Party’s Licensed Trademark that is included in the Composite Mark, each Party shall have the independent right, at its expense, to take all such actions as it deems advisable for the protection of its Trademarks, and the Parties shall use their best efforts to cooperate in all such actions.

Composite Mark means any trademark, service mark, brand name, certificat▇▇▇ mark, trade name or other indication ▇▇ origin that includes, in add▇▇▇▇n to other terms or symbols, a Seller Mark but excluding the Selected Marks.

Composite Mark means the Trademark as combined with additional distinctive word/graphic elements whose requirements and format are specified in annex to the Commission Implementing Regulation (EU) No 699/2014 and in Annexes A and B to this Agreement;
