  • Completion NAV shall be prepared and agreed or determined in accordance with Schedule 6 (Completion Accounts).

  • If the Completion NAV as shown in the Completion Account shows a deficit ( or negative value) of more than HK$20,000,000, then the Vendor shall pay to the Purchaser an amount in cash equivalent to the difference between the Completion NAV and the Benchmark Value on a dollar-to-dollar basis within 30 Business Days after the Completion Account is issued and delivered by the Purchaser to the Vendor.
