Completion NAV shall be prepared and agreed or determined in accordance with Schedule 6 (Completion Accounts).
If the Completion NAV as shown in the Completion Account shows a deficit ( or negative value) of more than HK$20,000,000, then the Vendor shall pay to the Purchaser an amount in cash equivalent to the difference between the Completion NAV and the Benchmark Value on a dollar-to-dollar basis within 30 Business Days after the Completion Account is issued and delivered by the Purchaser to the Vendor.
If the Sellers do not raise any queries or observations in respect of the Completion Statement within twenty one days following delivery thereof to them or if they agree the Completion Statement, then the Completion Statement shall be final and binding on the parties, and the Completion NAV shall be as set out in the Completion Statement.
The consideration for the Shares shall be the payment to the Vendor of a sum equal to the Completion NAV as determined or agreed in accordance with schedule 7 less the sum of L.220,000.
The Buyer and the Sellers shall promptly provide and render or cause to be provided and rendered to the Independent Accountant such information and assistance as they may reasonably require to enable the Independent Accountant to determine the Completion NAV.
