Completion Memorandum definition

Completion Memorandum means the completion memorandum relating to the matters contemplated in this Agreement, in the Agreed Form;
Completion Memorandum has the meaning given in the Common Terms Agreement Second Amendment Agreement.
Completion Memorandum means the memorandum in the terms to be agreed describing certain documents to be executed and certain actions to be taken upon Completion pursuant to clause 6.3;

Examples of Completion Memorandum in a sentence

  • Following Completion, the Purchaser and the Sellers shall acknowledge by entering into the Completion Memorandum (i) that Purchase Price and Default Interest, if any, has been paid in full, (ii) that the right to rescind this Agreement pursuant to clause 3.1.5 has not been exercised and that (iii) the assignment of the Shares to Purchaser has become unconditional pursuant to clause 2.2. The Completion Memorandum shall be executed in seven (7) copies, one of which shall be produced to the acting notary.

  • Such amendment and all other steps specified in the Completion Memorandum shall, upon the occurrence of the Effective Date, be deemed to have occurred on the date and in the order specified in the Completion Memorandum.

  • VHB will also complete the VTrans Natural Resources Clearance Memorandum, Environmental Specialist Resources Memorandum, and Resource Identification Completion Memorandum.
