Before commencing any Enhancement, Producer shall prepare and submit to Completion Guarantor, for Completion Guarantor's timely comment or approval, a written proposal for such Enhancement, stating all facts and particulars relevant thereto including any changes in or additions to any Production Element.
Producer has entered contracts for the exclusive (or non-exclusive but first priority) services of each Essential Element, if any, has or will enter into such contracts for each other Key Cast and Key Crew member, and has or, before their execution, will provide Completion Guarantor with copies of the same for Completion Guarantor's timely comment and approval.

Nothing herein shall in any way modify or limit the effect of terms or conditions set forth in any other document, instrument or agreement executed by Completion Guarantors or in connection with obligations guarantied hereby, but each and every term and condition hereof shall be in addition thereto.
During the period following any date of Suspension and until the end of such Suspension, the Completion Guarantors shall each use their best efforts to remove such Force Majeure.
Completion Guarantors have executed this Completion Guaranty as of the date first written above by their respective duly authorized officers.
Completion Guarantors expressly waive, to the fullest extent permitted by law, the benefit of any and all statutes of limitation, and any and all Laws providing for exemption of property from execution or for evaluation and appraisal upon foreclosure, to the maximum extent permitted by applicable Laws.
Each Completion Guarantor expressly waives any defenses to the enforcement of this Completion Guaranty or any rights of the Administrative Agent or the Lenders created or granted hereby or to the recovery by Administrative Agent or the Lenders against Borrower, Completion Guarantors or any other Person liable therefor of any deficiency after a judicial or nonjudicial foreclosure or sale because all or any part of the obligations guarantied hereby are secured by real Property.
The Completion Guarantors shall remain obligated to perform the Carry Obligations notwithstanding any such election and notwithstanding the Surety's performance of the Performance Bond Construction or the Preservation Obligations.
