Completion Date Cash definition
Completion Date Cash means the amount of cash and cash equivalents held by the Company Group as of the Effective Time, determined in accordance with the Transaction Accounting Principles.
Completion Date Cash and “Completion Date Debt” means the Group Companies’ aggregated Cash and Debt, respectively, as at 12:01 a.m. local time on the third calendar day prior to the Completion Date as stated in the Completion Statements (in case such calendar day is not a Business Day, then the first Business Day immediately preceding such calendar day), subject to adjustment pursuant to clause 3.3;
Completion Date Cash means the Cash as shown by the Final Completion Statement;

Such payments shall reduce Target Completion Date Cash and there shall be no deduction from the consideration otherwise payable to the Existing Shareholders pursuant to this Agreement for any such payments.
For the avoidance of doubt, no liability incurred pursuant to this section shall result in a reduction in the Final Completion Date Cash Consideration.
The Preliminary Adjustment Statement shall be prepared to reflect the books as of 12:01 a.m. local time on the day prior to the Completion Date, in a manner consistent with, part 3 of Schedule 4, including the types of adjustments set forth therein, and in accordance with the definitions of Completion Date Debt and the Completion Date Cash as defined in this agreement.
